Cloud Innovus Terms of Use

Cloud Innovus does not warrant that the Services will be uninterrupted, error-free, or completely secure.

10. Limitation of Liability

To the fullest extent permitted by law, Cloud Innovus shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the Services; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the Services; (iv) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Services by any third party; or (v) any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available through the Services.

11. Indemnification

You agree to indemnify, defend, and hold harmless Cloud Innovus, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Services, or your violation of these Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Cloud Innovus is headquartered, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Services shall be resolved exclusively in the courts located within that jurisdiction. Given our headquarters in Miami, USA, and London, UK, you may choose to resolve disputes in either jurisdiction.

13. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and Cloud Innovus regarding the use of the Services and supersede any prior agreements between you and Cloud Innovus.

• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

• Waiver: The failure of Cloud Innovus to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
